In 2022, transferable tax credits seemed like they would be a game changer for renewable energy finance. The promise was that much simpler direct transfers could open the doors of tax credit monetization
to new players who had been largely unfamiliar with the renewable
energy space.
Today, some remain skeptical that the legislation will ultimately make a significant difference, due to the costs and risks involved. Our panel will discuss how both believers and skeptics have been proven right, and
what needs to change for the transferable tax credit market to achieve its full potential.
Ben Dickson has been the Chief Legal Officer of Ever.green, a provider of high-impact RECs and tax credits, since its inception in 2021. Prior to joining Ever.green, Ben started his career in the structured finance department of Skadden, Arps, Slate, Meagher & Flom, before joining Wilson Sonsini’s corporate practice as an associate.
While in private practice, Ben specialized in helping clients with sophisticated regulatory, transactional, and product development matters, in particular helping clients develop innovative financing platforms for new asset classes. He has guided a wide variety of clients in the technology, pharmaceutical, and clean energy spaces through complicated acquisition and financing transactions, including the first ever public offering of digital assets as a security. At Ever.green, he has been responsible for helping to set up the company’s transferable tax credit platform.
Nicole Gambino is Senior Of Counsel in the San Francisco office of Wilson Sonsini Goodrich & Rosati and a member of the firm’s energy and climate solutions practice. She specializes in tax matters related to project finance, with a focus on renewable energy and infrastructure assets. Her clients include developers of solar, wind, and energy storage facilities.
Nicole has also represented financial institutions and other investors that finance utility-scale wind, solar, geothermal, and biomass facilities, in structures involving tax equity as well as transferability.
David leads Baker Tilly’s tax credit investment syndication practice, which complimentsthe firm’s leadership position in the renewable energy and New Markets Tax Creditindustries to marry tax investors with opportunities that facilitate the growth of renewableenergy and assist in the revitalization of low-income communities.
David is an experienced financial services executive with over 25 years experience inimpact investing, having successfully designed from concept and developed to industry-leading prominence multiple impact investing businesses within a major financialinstitution.
Jaron Goddard is an associate in the Seattle office of Wilson Sonsini Goodrich & Rosati, where she is a member of the firm's energy and climate solutions practice. She works on a broad range of project development, financing, regulatory, and policy issues affecting the solar, wind, hydroelectric, energy storage, energy efficiency, distributed energy resources, electric vehicle, and other renewable energy industries.
Jaron combines a diverse experience as a clean energy lawyer, former U.S. Senate staff counsel involved in negotiating and drafting provisions of the Inflation Reduction Act of 2022 (IRA), and strong industry background to create solutions for her clients engaged in the clean energy transition and navigating a constantly evolving international, federal, and state legal and regulatory landscape.
Nabil serves his clients both as an advocate to the underwriting markets and as a dedicated consultant to help USI clients better understand their unique risk management needs. Nabil has been with USI’s Portland office for 9 years and brings his previous 9 years’ experience in the finance space with Morgan Stanley, and with Private Equity Firms, to help structure complex and bespoke insurance programs.
In serving Private Equity entities, he has exposure to a multitude of different businesses and their complex ownership structures. As a result, Nabil brings refined understanding in Directors & Officers Liability, Employment Practices, and Cyber Liability coverage lines to his clients and their commercial enterprises. In addition, Nabil focuses on the Reps and Warranties space, as well as Tax Credit and Alternative Risk Transfer Markets—as well as harder to place insurable items. Nabil holds a Triple Business Major in Marketing/Advertising/Management from Portland State University.
